These Terms of Service ("Terms") govern your access to and use of FitAxis's gym and fitness business management software, including our mobile application for iOS and Apple Watch (the "App") and related web services (collectively, the "Service"), provided by FitAxis, located at 431 W Houston Ave, Fullerton, CA 92832 ("FitAxis," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is intended for use by independent gyms, fitness studios, and their members. Member accounts are created by an affiliated gym or business on your behalf, or by you directly when joining a participating gym. You are responsible for maintaining the confidentiality of your account credentials.
FitAxis provides software enabling gym owners to manage memberships, class scheduling, attendance, and engagement, and enabling members to track workouts (including via Apple Watch and HealthKit), check in to classes (including via automatic geofence-based check-in), log nutrition and weight, and engage with gym leaderboards and communications.
FitAxis does not process payments, sell subscriptions, or facilitate purchases within the App. Any billing relationship for gym membership or services exists directly between you and your affiliated gym, processed through that gym's own billing arrangements outside of the App. Credit or session balances displayed within the App are record-only tracking features and do not constitute a payment or financial transaction conducted through the App.

The Service displays fitness metrics, including heart rate and workout data sourced from Apple HealthKit, for informational and motivational purposes only. FitAxis is not a medical device and does not provide medical advice, diagnosis, or treatment. Consult a qualified healthcare provider before beginning any exercise program, particularly if you have any pre-existing health conditions.
Automatic check-in features rely on device location services and geofencing technology. Accuracy may vary based on device, signal conditions, and environmental factors. FitAxis is not responsible for missed or inaccurate check-ins resulting from device or location service limitations.
Your gym, not FitAxis, is responsible for membership terms, billing, cancellation policies, and the operation of its business. FitAxis provides the underlying technology platform only and is not a party to your membership agreement with your gym.
The Service, including its software, design, and content (excluding gym-specific branding provided by your gym), is owned by FitAxis and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
We may suspend or terminate your access to the Service if you violate these Terms, or if your affiliated gym's account with FitAxis is suspended or terminated. You may stop using the Service at any time.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law, FitAxis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
